Private Label Wholesale Terms & Conditions

PRIVATE LABEL WHOLESALE TERMS & CONDITIONS

By purchasing private label products from Simply Soap & More - DBA - Cool Kat Soap Co. (“Manufacturer”), the purchaser (“Client”) agrees to the following Terms and Conditions. These Terms apply to all orders and supersede any conflicting terms unless agreed to in writing.

1. PRIVATE LABEL RELATIONSHIP

All products are manufactured by Manufacturer and sold to Client for resale under Client’s own branding. Manufacturer is not the brand owner and has no control over final labeling, marketing, or resale of the Products.

2. LABELING & REGULATORY COMPLIANCE

Client assumes full responsibility for ensuring that all product labeling, packaging, and marketing comply with all applicable laws and regulations, including:

  • Federal Food, Drug, and Cosmetic Act
  • Fair Packaging and Labeling Act
  • Regulations enforced by the Food and Drug Administration

Manufacturer may provide ingredient information; however, Client is solely responsible for final label accuracy and compliance.

3. PROHIBITED CLAIMS

Client shall not market or represent Products as drugs or make medical, therapeutic, or structure/function claims, including but not limited to:

  • Treatment or prevention of disease
  • Antibacterial or antimicrobial claims
  • Antiperspirant claims

Any such claims are made at Client’s sole risk and liability.

4. PRODUCT USE & DISCLAIMER

All Products are intended for external cosmetic use only. Client assumes full responsibility for communicating proper usage, warnings, and disclosures to end consumers.

5. STORAGE & HANDLING

Client is responsible for maintaining appropriate storage and handling conditions, including protection from heat, moisture, and contamination. Manufacturer is not responsible for product degradation after delivery.

6. ORDERS, PAYMENT & FINAL SALE

  • All private label orders are custom and final sale
  • No returns or refunds - No Exceptions

7. TRANSFER OF RISK

Risk of loss transfers to Client upon shipment. Manufacturer is not responsible for carrier delays, damages, or losses after shipment.

8. PRODUCT VARIATION

Due to the nature of handmade and natural products, slight variations in color, scent, and appearance may occur and do not constitute defects.

9. INDEMNIFICATION

Client agrees to indemnify, defend, and hold harmless Manufacturer, its owners, employees, and affiliates from any and all claims, damages, liabilities, costs, and expenses (including attorney’s fees) arising out of or related to:

  • Product labeling or packaging
  • Marketing claims or representations
  • Regulatory violations
  • Product misuse or improper storage
  • Allergic reactions or consumer use
  • Product resale or distribution
  • Reclassification of Products due to Client claims

10. LIMITATION OF LIABILITY

To the fullest extent permitted by law:

  • Manufacturer’s liability is limited to the purchase price of the affected Products
  • Manufacturer shall not be liable for indirect, incidental, or consequential damages, including loss of profits, business interruption, or reputational harm

11. RECALL RESPONSIBILITY

Any recall resulting from Client labeling, marketing, or regulatory non-compliance shall be the sole responsibility of Client.

12. FORMULATION & INTELLECTUAL PROPERTY

All formulations remain the intellectual property of Simply Soap & More - DBA- Cool Kat Soap Co. "Manufacturer". Client receives no ownership rights to formulations unless expressly agreed in writing.

13. GOVERNING LAW

These Terms shall be governed by the laws of the State of Washington.

14. ACCEPTANCE OF TERMS

By placing an order, Client acknowledges and agrees to these Terms and Conditions in full.
